AI Usage & Commercial Licensing Policy

Purpose
This policy governs the acceptable use of any Artificial Intelligence (AI) systems, Large Language Models (LLMs), bots, crawlers, scrapers, robotic process automation (RPA), autonomous software, agents, or other automated systems (“Agents”) interacting with Lexcomply, LexBuddy, associated applications, APIs, websites, databases, AI systems, workflows, and services (“Platforms”).
This policy is intended to:
- protect platform security, stability, and availability,
- safeguard proprietary and customer data,
- regulate automated and AI-driven access,
- protect Lexcomply intellectual property and legal datasets,
- establish commercial terms for AI and automated usage,
- and ensure responsible and lawful use of the Platforms.

Scope
This policy applies to:
- customers,
- users,
- developers,
- vendors,
- AI systems,
- autonomous agents,
- crawlers,
- browser automation tools,
- API clients,
- robotic automation systems,
- machine learning systems,
- and any software capable of automated interaction with the Platforms.

Permitted Use
Authorized Agents may access the Platforms only when:
- explicitly authorized by Lexcomply,
- authenticated through approved methods,
- operating within approved rate limits,
- compliant with applicable laws,
- and used strictly for permitted business purposes.
Approved use cases may include:
- authorized API integrations,
- workflow automation,
- enterprise compliance automation,
- customer-authorized AI assistance,
- accessibility tooling,
- approved indexing of public content,
- and enterprise legal/compliance research.

Prohibited Activities
Unless expressly approved in writing, the following activities are prohibited:
4.1 Unauthorized Data Collection
- scraping or bulk extraction of content,
- harvesting legal or customer data,
- extraction of prompts, embeddings, metadata, workflows, or outputs,
- automated downloading of legal databases,
- Unauthorized indexing or replication of platform content.
4.2 Unauthorized AI Training or Commercial Use
- use of platform content for LLM or AI training,
- fine-tuning models using platform content,
- generation of embeddings from proprietary datasets,
- synthetic dataset creation,
- commercial resale of outputs or content,
- creation of derivative legal AI systems using Platform data.
4.3 Security Circumvention
- bypassing authentication or access controls,
- evading rate limits,
- credential attacks,
- automated exploitation attempts,
- prompt injection attacks,
- abuse of APIs or integrations.
4.4 Platform Abuse
- denial-of-service behaviour,
- excessive automated requests,
- Unauthorized crawling,
- automated account creation,
- impersonation of users or systems,
- stress testing without written approval.

Intellectual Property & Content Ownership
All rights, title, and interest in:
- legal and regulatory datasets,
- compliance workflows,
- annotations,
- summaries,
- prompts,
- AI outputs,
- metadata,
- documentation,
- APIs,
- models,
- workflows,
- and related intellectual property
remain the exclusive property of Lexcomply and/or its licensors.
No ownership or license rights are granted except as expressly authorized in writing.

Commercial AI Usage & Licensing
6.1 Restricted AI Usage
Unless expressly authorized by Lexcomply in writing, no Agent may:
- use Platform content for AI/LLM training,
- generate embeddings from Platform content,
- perform large-scale retrieval or indexing,
- create derivative AI datasets,
- use outputs for commercial AI products,
- or perform automated legal/compliance corpus extraction.
6.2 Licensed AI Access
Lexcomply may offer commercial licenses for:
- AI model training,
- retrieval-augmented generation (RAG),
- legal research copilots,
- enterprise AI integrations,
- embeddings generation,
- API-based AI access,
- compliance automation workflows,
- automated retrieval systems,
- and enterprise agent integrations.
Such access may be governed by:
- subscription pricing,
- API/token-based pricing,
- enterprise licensing fees,
- retrieval/query-based pricing,
- storage/indexing fees,
- usage limits,
- audit rights,
- and contractual restrictions.
6.3 Reservation of Rights
Lexcomply reserves all rights relating to:
- AI usage,
- automated retrieval,
- commercial indexing,
- model training,
- and derivative AI applications involving Platform content.
Unauthorized commercial AI usage may result in:
- immediate suspension,
- IP blocking,
- legal action,
- recovery of damages,
- and claims for unpaid licensing fees.

Security & Monitoring
Lexcomply may:
- monitor automated traffic and usage patterns,
- inspect API and Agent activity,
- implement rate limiting,
- block suspicious or abusive Agents,
- require identity verification,
- suspend or terminate access,
- and investigate security incidents or misuse.
Use of the Platforms constitutes consent to such monitoring for security, operational, and compliance purposes.

Data Protection & Confidentiality
Agents accessing the Platforms must:
- comply with applicable privacy and data protection laws,
- protect confidential and customer data,
- implement reasonable technical and organizational security controls,
- avoid unauthorized retention or disclosure of sensitive information,
- and use secure transmission and storage mechanisms.

Compliance Requirements
Users and Agents must comply with:
- applicable cybersecurity laws,
- privacy and data protection regulations,
- intellectual property laws,
- export control and sanctions requirements,
- and all applicable contractual obligations.

Enforcement
Violation of this policy may result in:
- suspension or termination of accounts,
- API revocation,
- blocking of IPs or Agents,
- legal proceedings,
- reporting to applicable authorities,

Modifications
Lexcomply reserves the right to amend or update this policy at any time. Continued access or use of the Platforms following any update constitutes acceptance of the revised policy.
